These Terms & Conditions ("Terms") govern your access to and use of Speddle ("Service"), operated by Speddle ("we", "us", "our"). By creating an account, submitting a URL for audit, uploading content, or otherwise using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

Speddle provides automated website audits including SEO, performance, accessibility, UX, copy, GEO, and AI-generated recommendations. Audits are informational tools only. We do not guarantee accuracy, completeness, rankings, revenue outcomes, or compliance with any law or standard.

AI-generated recommendations can contain mistakes. You are responsible for using your professional judgment before implementing any tips, prompts, or automated content, which are provided "as-is".

We may modify, suspend, or discontinue any part of the Service at any time without liability.

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account.

You must be at least 18 years old (or the age of majority in your jurisdiction) and have authority to submit any URL or data you provide.

When you submit a website URL, run an audit, share a report, or otherwise provide information through the Service, you represent that you have the right to submit that data and to allow us to access, crawl, store, process, analyze, and display it as described in these Terms and our Privacy Policy.

By submitting data to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, store, process, analyze, display, and create derivative works from that data solely to operate, maintain, secure, and improve the Service.

Once submitted, you acknowledge that audit outputs, logs, and derived insights may be retained and used by us even if you later delete your account or request removal, to the extent permitted by law and our Privacy Policy.

To the fullest extent permitted by applicable law, by submitting any URL, website content, screenshots, audit results, account information, or other data through the Service, you waive and release any claims, demands, or causes of action against us arising from our collection, storage, processing, analysis, use, or retention of that data in accordance with these Terms and our Privacy Policy.

You agree not to assert any claim that our handling of data you voluntarily submitted violates your rights, provided we act within the scope described in these Terms and our Privacy Policy.

This section does not limit rights that cannot be waived under mandatory applicable law.

We may suspend or terminate access for violations without refund.

• Do not submit URLs or content you do not have permission to audit.
• Do not use the Service to violate any law, infringe intellectual property, or harass others.
• Do not attempt to reverse engineer, scrape, overload, or disrupt the Service.
• Do not resell or misrepresent audit reports as professional legal, financial, or compliance advice.

We own the Service, software, branding, algorithms, scoring models, and all related intellectual property. You receive a limited, revocable, non-transferable license to use the Service for your internal business purposes.

Audit reports are licensed to you for your use. We retain all rights in how reports are generated, formatted, and presented.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that audits will be error-free, uninterrupted, secure, or suitable for your business decisions. You use audit results at your own risk.

We assume no liability for actions taken or outcomes based on AI-generated recommendations, fix prompts, audit summaries, or other automated content.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months before the claim, or (b) fifty US dollars (USD $50).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless us and our officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, data you submit, or your violation of these Terms.

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason including breach of these Terms.

Sections that by nature should survive termination (including data licenses, disclaimers, limitation of liability, and indemnity) will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any dispute shall be resolved in the courts located in Delaware, USA, and you consent to personal jurisdiction there, except where prohibited by mandatory local law.

We may update these Terms at any time by posting a revised version on our website. Continued use after changes become effective constitutes acceptance. Material changes may also be communicated by email or in-product notice where appropriate.
